Terms of Use Agreement

Welcome to LittleDaVinci.com (the “ Site” ).  By using the Site, you are agreeing to comply with and be bound by the following terms of use. Please review the following terms carefully. If you do not agree to these terms, you should not use this site.  The term “ Little DaVinci” or “ us” or “ we” or “ our” refers to Little DaVinc LLC, an Ohio limited liability company, the owner of the Site.  The terms “ you” or “ User” refers to the user or viewer of the Site.    In addition to applying to those who use our Site solely for the purpose of viewing our content, the term “ you” or “ Users” also applies to (a) teachers who use the Site for the purposes of uploading student’ s artwork and/or uploading their own artwork (“ Teachers” ), (b) parents of the children whose artwork has been uploaded to the Site (“ Parents” ) and (c) purchasers of the merchandise offered for sale on the Site (“ Purchasers” ).   

1.                                  Acceptance of Agreement.

You agree to the terms and conditions outlined in this Terms of Use Agreement ("Agreement") with respect to the Site. This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site, and the subject matter of this Agreement. This Agreement may be amended at any time by us from time to time without specific notice to you. The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the Site.

You understand and agree that you are entering into this Agreement electronically, which will have the same force and effect as an agreement in writing. You further agree that we may provide you with required notices and terms about the Site electronically, either by (a) posting such notice on the Site or (b) by sending you e-mail to the e-mail address that you provided to us. You may always review the most current version of this Agreement by clicking on the “ Terms” or “ Terms of Service” link on the home page of the Site.

 

2.                                  Ownership of Content.

In this Agreement the content on the Site, including all information, data, logos, marks, designs, graphics, pictures, sound files, other files, and their selection and arrangement, is called “ Content” .   Content provided by Users is called “ User Content” .   User Content includes, but it is not limited to, contact information, user comments in our forums, students’ original artwork uploaded to our site (“ Student Artwork” ), and teachers’ original artwork uploaded to our site (“ Teacher Artwork” ).   

User Content other than Student Artwork is that User’ s property.   In addition, Little DaVinci student artists retain ownership of their Student Artwork.  Little DaVinci’ s only right to that User Content is the limited licenses to it granted in this Agreement. Those licenses are described in Section 3 of this Agreement.

Other than the User Content, the Site, all Content and all software used to create and operate the Site is the property of Little DaVinci or its licensors, and is protected by domestic and international copyright laws. All rights to the Site, such Content and such software are expressly reserved. All trademarks, registered trademarks, product names and company names or logos mentioned in the Site are the property of their respective owners.    Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Little DaVinci.

Your User Content is your responsibility. We have no responsibility or liability for it, or for any loss or damage your User Content may cause to other people. Although we have no obligation to do so and have no intention of doing so, we have the absolute discretion to remove, screen or edit without notice any User Content posted or stored on the Site, and we may do this at any time and for any reason. You are solely responsible for maintaining copies of and replacing any User Content you post or store on the Site.

3.                                  Your Limited License of User Content to Little DaVinci

We do not claim any ownership interest in your User Content, but we do need the right to use your User Content to the extent necessary to operate the Site and to produce and sell the merchandise we offer for sale.

Therefore, by posting or distributing your User Content to or through the Site, you (a) grant Little DaVinci and its affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to use, display, reproduce, distribute, publish, modify, adapt, translate, and create derivative works from such User Content on the Site, in the manner in and for the purposes for which the Site from time to time uses such User Content. With respect to Teacher Artwork, the limited license to us includes the right to use such artwork to create marketing materials and to produce and sell prints and other merchandise featuring the Teacher Artwork.

With respect to Student Artwork, Parents, by indicating their acceptance of the terms of this Agreement, grants on behalf of themselves and their child, Little DaVinci and its affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to use, display, reproduce, distribute, publish, modify, adapt, translate, and create derivative works from such artwork on the Site, in the manner in and for the purposes for which the Site from time to time uses such Content.  With respect to Student Artwork, the limited license to us includes the right to use such artwork to create marketing materials and to produce and sell prints and other merchandise featuring the Student Artwork. 

4.                                  Our Limited License of Content to You.

Little DaVinci grants you a limited, revocable, non-exclusive, non-sublicensable license to access the Site and to view, copy and print the portions of the Content available to you on the Site for your personal or school-related, private, non-commercial and lawful use.   Such license is subject to this Agreement, and specifically conditioned upon your compliance with the this Agreement, including without limitation, the Restrictions and Prohibitions set forth in Section 5.  Except as expressly permitted above, any use of any portion of the Content without the prior written permission of its owner is strictly prohibited and will terminate the license granted in this Section, this Agreement and your account with us. Any such unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws. Unless explicitly stated herein, nothing in this Agreement may be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. The license in this Section is revocable by Little DaVinci at any time.

5.                                  General Restrictions and Prohibitions on Use.

Your license for access and use of the Site and any information, materials or documents (collectively defined as “ Content and Materials” ) therein are subject to the following restrictions and prohibitions on use:  You may not (a) copy, print (except for the express limited purpose permitted by Section 4 above), republish, display, distribute, transmit, sell, rent, lease, loan or otherwise make available in any form or by any means all or any portion of the Site or any Content retrieved therefrom (b) use the Site or any materials obtained from the Site to develop, of as a component of, any information, storage and retrieval system, database, information base, or similar resource (in any media now existing or hereafter developed), that is offered for commercial distribution of any kind, including through sale, license, lease, rental, subscription, or any other commercial distribution mechanism (c) create compilations or derivative works of any Content from the Site (d) use any Content from the Site in any manner that may infringe any copyright, intellectual property right, proprietary right, or property right of us or any third parties (e) remove, change or obscure any copyright notice or other proprietary notice or terms of use contained in the Site (f) make any portion of the Site available through any timesharing system, service bureau, the Internet or any other technology now existing or developed in the future (g) remove, decompile, disassemble or reverse engineer any Site software or use any network monitoring or discovery software to determine the Site architecture (h) use any automatic or manual process to harvest information from the Site (i) use the Site for the purpose of gathering information for or transmitting (1) unsolicited commercial email (2) email that makes use of headers, invalid or nonexistent domain names, or other means of deceptive addressing and (3) unsolicited telephone calls or facsimile transmissions (j) use the Site in a manner that violates any state or federal law regulating email, facsimile transmissions or telephone solicitations and (k) export or re-export the Site or any portion thereof, or any software available on or through the Site, in violation of the export control laws or regulations of the United States.

6.                                  Requirements for Artwork.

All Artwork submitted to the site must be suitable for viewing by children and may not be sexually explicit or depict nudity or violence.  Artwork must be the original work of either the Teacher or their students and may not depict or contain copyrighted materials or trademarks owned by others, including without limitation company or product logos, copyrighted cartoon characters or other material that could infringe on the intellectual property rights of third parties. 

For reasons of privacy and security, Student Artwork must also meet the following requirements:

(a)      The artwork may not contain photographs or depictions of persons under the age of 18 years of age, including self-portraits. 

(b)    The artwork must not contain the student’ s last name or other personal information relating to the student.   

We reserve the right to remove any Student Artwork or Teacher Artwork from our Site for any reason.   

7.                                  Teachers.

When submitting Student Artwork, Teachers are responsible to ensure, and hereby represent and warrant, that all necessary consents from school administration, parents and/or students have been obtained.    Little DaVinci is not liable or responsible for Teacher’ s failure to obtain necessary consents.

The submission procedures established by Little DaVinci are designed so that information identifying the students will not be displayed publicly on our site.  Teachers are responsible to follow these instructions, and Little DaVinci is not liable or responsible if identifying information is displayed on our Site as a result of a Teacher failing to properly follow the submission procedures. 

Teachers must also carefully review all Teacher Artwork and Student Artwork to ensure, and hereby represent and warrant that, all Teacher Artwork and Student Artwork meets the requirements set forth in Section 6.   

When Teachers submit Teacher Artwork, we will offer merchandise for sale featuring that artwork similar to the types of merchandise we offer with respect to Student Artwork.    When Users purchase merchandise based on Teacher Artwork you have submitted, we will pay you 100% of the proceeds we receive from the sale of this merchandise after any applicable refund or return period has passed.    We reserve the right to change these terms at any time, but if we do, we will provide notice to you and provide you an opportunity to terminate this Agreement.   

8.                                  Parents.

By indicating your acceptance of the terms of this Agreement you are hereby granting permission for your child’ s artwork to be displayed on our Site and for merchandise featuring that artwork to be sold to third-parties.   Our submission procedures and artwork requirements are designed such that (a) we do not collect any more information about the students than is absolutely necessary for Little DaVinci’ s internal business use and (b) no personally identifying information about the students is displayed on the Site or disclosed to third parties.  You may, however, request that your child’ s artwork be removed from the site at any time and we will do so within 10 business days.  Little DaVinci shall not be required to remove depictions of the child’ s artwork in brochures, articles or other marketing materials printed, produced or designed prior to your request.   

9.                                  Purchasers.

Purchasers may only purchase prints of Teacher Artwork and Student Artwork of their own child or for which they have received permission from the parents of that Student.    You represent and warrant that if you are purchasing anything from us that (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your credit card company, (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes, and (iv) that you have obtained the permission of the parents of the child whose artwork you are purchasing.    Any breaches of the above representations and warranties may result in permission to use the Site revoked, civil liability and criminal prosecution. 

10.                          Return Policy

Each item ordered by a User is custom produced. If, for any reason, the User is dissatisfied with a merchandise purchase, Little DaVinci will replace the item(s) free of charge, subject to the following conditions and restrictions:

If a User receives merchandise that is defective, Little DaVinci will replace the item free of charge if notified of the problem within 14 days after delivery of the merchandise to the User. To provide notification, the User must email Little DaVinci at returns@littledavinci.com and include the following information: the User's name and mailing address, the order number, the screen name of the Artist, the correct art identification number (if applicable) and the reason for the requested product replacement. Little DaVinci will replace the item within four weeks after the date that Little DaVinci receives the returned merchandise.  Returns should be then be sent to the following address:

Although Little DaVinci takes the utmost care to achieve the best reproduction quality on all merchandise, artwork submitted to Little DaVinci by the school or Parent of an Artist may be of poor image quality (i.e., low resolution or poor lighting) and may not reproduce well on merchandise. Therefore, before making an order, the User must check the artwork on the Site to ensure adequate image quality. Little DaVinci will not accept the return of any merchandise that is a faithful reproduction of the artwork image in our archive and displayed on the Site.

The User is responsible for ensuring that the artwork that he or she has ordered to be reproduced on the merchandise was created by the intended Artist.   Little DaVinci will not accept returns of merchandise because a User orders merchandise depicting artwork from the wrong Artist.

11.                          Linking to the Site.

You may provide links to the Site, provided (a) that you do not remove or obscure, by framing or otherwise, advertisements, the copyright notice, or other notices on the Site, (b) your site does not engage in illegal or pornographic activities, and (c) you discontinue providing links to the Site immediately upon request by us.

12.                          Advertisers.

The Site may contain advertising and sponsorships. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the Site is accurate and complies with applicable laws.  We are not responsible for the illegality or any error, inaccuracy or problem in the advertiser’ s or sponsor’ s materials.

13.                          Registration.

Certain sections of, or offerings from, the Site may require you to register. Registration is available only to Teachers, Parents and Purchasers.  Persons under the age of 13 may not register.  If registration is requested, you agree to provide us with accurate, complete registration information. Your registration must be done using your real name and accurate information.  Each registration is for your personal use only and not on behalf of any other person or entity.   You are responsible for preventing such unauthorized use, and you agree to accept all risks of unauthorized access to your registration data and your User Content.

14.                          Forums and Comments

Certain areas of our Site provides opportunities for Users to post comments and to engage in discussion with other Users (“ Forums” ).  By participating in the Forums, you agree not to:

  • post anyone else's identifying information
  • post any material that is knowingly false, misleading or inaccurate, or offensive
  • post any material that violates or infringes anyone's intellectual property rights (including copyrights, trademarks, trade secrets, patents, publicity rights) or that is obscene, defamatory, racist, violent, harassing, profane or otherwise objectionable.
  • use the discussions on the Forums for purposes of sharing or distributing viruses, licenses, registration information, software keys or other information designed to do harm to or allow unlawful access to any computer hardware, software, networks, or any other systems
  • post advertisements, chain letters, junk email or bulk communications
  • forge headers or otherwise manipulate identifiers in order to disguise the origin
  • use the Forums to upload, post or otherwise transmit any content that you do not have a right to transmit to the public under any law or under contractual or fiduciary relationships (such as inside information, proprietary or confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements)
  • upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment
  • violate any applicable law

 

We reserve the right to remove any content in our Forums that violates these policies.   

 

15.                          Errors, Corrections and Changes.

We do not represent or warrant that the Site will be error-free, free of viruses or other harmful components, or that defects will be corrected.  We do not represent or warrant that the information available on or through the Site will be correct, accurate, timely or otherwise reliable.  We may make changes to the features, functionality or content of the Site at any time.  We reserve the right in our sole discretion to edit or delete any documents, information or other content appearing on the Site.

16.                          Unlawful Activity.

We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, posted materials, IP addresses and traffic information.

17.                          Indemnification.

You agree to indemnify, defend and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates (collectively, "Affiliated Parties") harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of this Agreement, any breach of your representation or warranties, or your use of the Site.

18.                          Disclaimer.

THE INFORMATION, CONTENT AND DOCUMENTS FROM OR THROUGH THE SITE ARE PROVIDED "AS-IS," "AS AVAILABLE," WITH “ ALL FAULTS” , AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE INFORMATION AND SERVICES MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. WE AND OUR AFFILIATED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR SERVICE, EXCEPT AS PROVIDED IN THIS AGREEMENT.   IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, WE AND OUR AFFILIATED PARTIES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE NEGATION AND LIMITATION OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN US AND YOU. THIS SITE AND THE PRODUCTS, SERVICES, DOCUMENTS AND INFORMATION PRESENTED WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH THE SITE OR OTHERWISE SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED IN THIS AGREEMENT.

ALL RESPONSIBILITY OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES CONTAINED WITHIN THE ELECTRONIC FILE CONTAINING A FORM OR DOCUMENT IS DISCLAIMED.

19.                          Limitation of Liability

(a)              We and any Affiliated Party shall not be liable for any loss, injury, claim, liability, or damage of any kind resulting in any way from (i) any errors in or omissions from the Site or any services or products obtainable therefrom, (ii) the unavailability or interruption of the Site or any features thereof, (iii) your use of the Site, (iv) the content contained on the Site, or (v) the failure of the site to preserve User Content. 

(b)              THE AGGREGATE LIABILITY OF US AND THE AFFILIATED PARTIES IN CONNECTION WITH ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE AND/OR THE PRODUCTS, INFORMATION, DOCUMENTS AND SERVICES PROVIDED HEREIN OR HEREBY SHALL NOT EXCEED $100 AND THAT AMOUNT SHALL BE IN LIEU OF ALL OTHER REMEDIES WHICH YOU MAY HAVE AGAINST US AND ANY AFFILIATED PARTY.

Our Privacy Policy, as it may change from time to time, is a part of this Agreement.  You must review this Privacy Policy by clicking on this link.

21.                          Links to other Web Sites.

The Site contains links to other Web sites. We are not responsible for the content, accuracy or opinions express in such Web sites, and such Web sites are not investigated, monitored or checked for accuracy or completeness by us. Inclusion of any linked Web site on our Site does not imply approval or endorsement of the linked Web site by us. If you decide to leave our Site and access these third-party sites, you do so at your own risk.

22.                          Legal Compliance.

You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Site.

23.                          Cancellation Termination of Agreement

You and/or Little DaVinci may terminate this Agreement and your use of the Site at any time.   Specifically, we reserve the right to terminate your User account and your use of the Site without prior notice (a) if we believe in our discretion that you have violated or acted inconsistently with this Agreement or (b) if we determine in our sole discretion to terminate the Site’ s services to you or any other User. When your account is terminated, your User Content will, shortly thereafter, not appear on the Site, except for User Content submitted in our Forum. We may also retain an archival copy of your User Content after termination, provided, however, that we make not guaranties that we will do so.  You hereby grant us a non-exclusive, perpetual, irrevocable license to maintain such archival copy for our internal business purposes.

24.        Copyright Claims.

If you are a copyright owner or an agent thereof and believe that Content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in the form of a written notification (pursuant to 17 U.S.C., section 512(c)):    Identification of the copyrighted work(s) that you claim to have been infringed Identification of where the infringing material is located (i.e., identification of the content containing the allegedly infringing material) A statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law A statement that the information in the notification is accurate, and that under penalty of perjury, you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner your address, telephone number, and e-mail address and your physical or electronic signature.

Please note that, pursuant to 17 U.S.C., section 512(f), any misrepresentation of material fact (falsities) in a written notification automatically subjects the complaining party to liability for any damages, costs and attorney's fees incurred by Little DaVinci in connection with the written notification and allegation of copyright infringement.

25.                          Miscellaneous.

You and we are independent contracts, and nothing in this Agreement creates a partnership, employment relationship or agency. There are no third-party beneficiaries of this Agreement.  You may not assign this Agreement, in whole or in part, to any third party without our prior, written consent, and any attempt by you to do so will be invalid.

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio (without regard to conflict of law principles). You and we hereby designate the courts located in Franklin County, Ohio as courts of proper jurisdiction and venue with respect to any action or controversy under the Agreement and waive any defenses to jurisdiction and venue with respect to any actions brought in such courts.  Any cause of action by you with respect to the Site (and/or any information, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth in this Agreement.  The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against any party.   Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision.  Our rights under this Agreement shall survive any termination of this Agreement.

Little DaVinci LLC provides this Privacy Policy to inform users of our policies and procedures regarding the collection, use and disclosure of personally identifiable information received from users of this website, located at www.littledavinci.com (the "Site").

Changes

This Privacy Policy may be updated from time to time for any reason each version will apply to information collected while it was in place. We will notify you of any material changes to our Privacy Policy by posting the new Privacy Policy on our Site. The changes shall take effect after we post or otherwise notify you about the changes. You are advised to consult this Privacy Policy regularly for any changes.

Your Consent

By using the Site, you are consenting to our processing of your information as set forth in this Privacy Policy now and as amended by us. "Processing" means using cookies on a computer or using or touching information in any way, including, but not limited to, collecting, storing, deleting, using, combining and disclosing information, all of which activities will take place in the United States. Children

We do not knowingly collect personal information from children through our Site.  Children under the age of 13 are not eligible to use our site.  Any user providing personal data is certifying that he/she is over the age of 13. 

In addition, our submission procedures and artwork requirements are designed such that (a) we do not collect any more information about the students than is absolutely necessary for Little DaVinci’ s internal business use and (b) no personally identifying information about the students is displayed on the Site or disclosed to third parties.     

If a parent or guardian becomes aware that his or her child has provided us with personally identifiable information without their consent, or that in spite of our submission procedures personally identifying information is being displayed on the Site, he or she should contact us at privacy@littledavinci.com. We will delete such information from our files.

Information Collection

Registration with us is optional. Each user selects a unique username and password that enables their access to the Site.  Users may access their account profiles at any time to update personal data contained within that account profile. Subsequent uses or disclosures of information by us will reflect those changes.
